2. Subject of the Agreement

These Terms and Conditions govern the contractual relationship between SOLARGRID PANAMA, S.A. (hereinafter "the Provider" or "Next Chapter Panama") and natural or legal persons (hereinafter "the Client") who engage services offered through the website www.nextchapterpanama.com or any other communication channel.

By engaging our services, the Client declares that they have read, understood, and fully accepted these Terms and Conditions.

3. Services Offered

Next Chapter Panama offers the following advisory and support services:

3.1 Relocation Services

• Immigration process guidance (general orientation, NOT legal advice)
• Housing search assistance
• Bank account opening assistance
• Airport pickup and initial orientation
• Vehicle purchase assistance
• Government office accompaniment

3.2 Translation and Interpretation Services

• Document translation (German, English, Spanish, Polish)
• Interpretation at appointments and meetings

3.3 Orientation Tours

• City and neighborhood tours
• School and healthcare facility visits

4. Contract Formation

The contract between the Provider and the Client is formed when:

1. The Client requests a specific service through the available communication channels;
2. The Provider sends a detailed quote or proposal;
3. The Client expressly accepts the proposal; and
4. The agreed initial payment is made (if applicable).

Acceptance may be given in writing, by email, or WhatsApp message.

5. Prices and Payment

5.1 Currency

All prices are expressed in United States Dollars (USD), the legal currency of the Republic of Panama.

5.2 Quotation

Prices will be communicated to the Client via quote before engaging any service. Prices include the Transfer of Movable Goods and Services Tax (ITBMS) when applicable.

5.3 Accepted Payment Methods

• Bank transfer
• Cash payment
• Zelle (for clients with US bank accounts)

5.4 Payment Terms

Depending on the service, the following may be required:

• 50% advance payment to begin the service
• Balance payment upon service completion
• Full payment in advance for one-time services

6. Client Obligations

The Client agrees to:

• Provide truthful, complete, and current information;
• Deliver required documents in a timely manner and proper form;
• Communicate any changes in their situation that may affect the services;
• Make agreed payments within established deadlines;
• Attend scheduled appointments punctually;
• Maintain respectful communication with Provider personnel;
• Comply with the laws of the Republic of Panama.

7. Provider Obligations

The Provider agrees to:

• Provide contracted services with diligence and professionalism;
• Keep the Client informed about the progress of their procedures;
• Protect the confidentiality of Client information;
• Communicate any issues or delays clearly and promptly;
• Issue corresponding payment receipts;
• Comply with current regulations of the Republic of Panama.

8. Limitation of Liability

8.1 Government Decisions

The Provider does NOT guarantee approval of visas, residence permits, bank accounts, or other government procedures, as these decisions rest exclusively with the competent authorities of the Republic of Panama.

8.2 Legal Services

Legal services are provided by independent attorneys licensed in Panama. The Provider is not liable for errors, omissions, or malpractice by these professionals, who operate under their own professional responsibility and insurance.

8.3 Information Provided by the Client

The Provider shall not be liable for rejections, delays, or problems arising from false, incomplete, or inaccurate information provided by the Client.

8.4 Legislative Changes

The Provider shall not be liable for changes in legislation, requirements, or procedures that occur during service provision and are beyond its control.

8.5 Liability Limit

In any case, the Provider's maximum liability shall be limited to the amount actually paid by the Client for the specific service in question.

9. Right of Withdrawal

In accordance with Panama's Consumer Protection Law (Law 45 of 2007):

• The Client may withdraw from the contract within seven (7) calendar days following engagement, provided the service has not begun.
• Once service provision has started, withdrawal will entail proportional charges for services already rendered.
• Third-party expenses already incurred (attorney fees, government fees, etc.) are non-refundable.

10. Personal Data Protection

Personal data processing is governed by our Privacy Policy, prepared in accordance with Panama's Personal Data Protection Law (Law 81 of 2019).

11. Intellectual Property

All content on the website www.nextchapterpanama.com, including but not limited to text, images, logos, designs, and software, is owned by SOLARGRID PANAMA, S.A. or its licensors and is protected by intellectual property laws of the Republic of Panama and applicable international treaties.

12. Applicable Law

These Terms and Conditions are governed by the laws of the Republic of Panama, including but not limited to:

• Civil Code of Panama
• Commercial Code of Panama
• Law 45 of 2007 (Consumer Protection)
• Law 81 of 2019 (Personal Data Protection)
• Law 51 of 2008 (E-Commerce)

13. Jurisdiction

For any dispute arising from these Terms and Conditions, the parties submit to the jurisdiction of the Courts of Justice of the Republic of Panama, with express waiver of any other jurisdiction that may apply to them.

14. Dispute Resolution

Before resorting to legal proceedings, the parties commit to attempting to resolve any dispute in good faith through direct negotiation. The Client may also file complaints with Panama's Consumer Protection and Competition Authority (ACODECO).

15. Final Provisions

15.1 Modifications

The Provider reserves the right to modify these Terms and Conditions at any time. Modifications will be published on the website and will take effect from publication. Contracts already entered into shall be governed by the terms in effect at the time of execution.

15.2 Severability

If any provision of these Terms and Conditions is declared null or unenforceable, the remaining provisions shall maintain their full validity and effect.

15.3 Assignment

The Client may not assign their rights or obligations under these Terms without the prior written consent of the Provider.
